Subscription Agreement / Terms of Use

By subscribing to or registering for the online edition of the Tokyo Journal and Tokyo Journal English Club (“Websites”), or by in any way using information published on this site, you agree to the following conditions:

The information contained on the Websites and its aliases, if any, is the property of Tokyo Journal International, Inc.

The Subscriber is permitted to read all parts of Tokyo Journal at http://www.tokyojournal.com (or other approved Tokyo Journal sites), as well as access all educational resources and take part in all Tokyo Journal educational activities for which the Subscriber has been authorized. This subscription is for access to the online edition of Tokyo Journal and Tokyo Journal English Club. It is not a subscription for the quarterly in-print magazine.

Subscribers may keep an electronic and/or print copy of such pages in original unaltered form, including PDF or other document files which may be provided as part of your subscription, for personal use, except as noted in the Cancellation Policy below. Other than this, you may not, under any circumstances, retransmit or reproduce the information contained in the Websites.

Copyright

All information and materials contained on the Websites, are protected under copyright and other laws of the United States, and, under international conventions, similar laws abroad.

Copyright in the information and materials contained on the Websites, including, but not limited to, photographs, artwork, visual and audio elements, textual material, and computer software, is owned or controlled separately, and as a collective work exclusively, by Tokyo Journal International, Inc. In addition, copyright in the selection, coordination and arrangement of materials in the Websites is owned exclusively by Tokyo Journal International, Inc.

Limitations on Use by and to a Subscriber

Access, viewing and use of the contents of the Websites may only be by a registered Subscriber. Subscribers are only authorized to browse and/or view the contents of the Websites, and/or make limited copies of portions of this work as per the fair use provisions of the Copyright Act, as long as all such uses are for personal, noncommercial purposes, and provided that the Subscriber maintains all copyright and any other notices, on all copies. However, Subscribers are not permitted to store in electronic or any other form, any significant portion of the Websites. Reproduction, adaptation, modification, distribution, transmission, displaying (including adaptations/displays such as by “framing”), publishing or selling of the contents of the Websites, in part or in whole, is not permitted without the prior written permission from Tokyo Journal International, Inc.

Non-personal and/or commercial use is strictly prohibited, and any such uses may result in immediate cancellation of access to this paid subscription service, as well as any applicable civil or criminal penalties. Sharing a Subscriber password with or making this Paid Subscription Service available to a non-Subscriber or any third parties in any other way is strictly prohibited, and may result in immediate cancellation of the Subscriber’s access to the Paid Subscription Services; and, the Subscriber and any third party, to any applicable civil or criminal penalties under copyright and/or other laws.

In the case of a company/corporate subscription, any employee that is allowed by the corporate subscriber to use the Paid Subscription Service materials, must abide by all of the terms and conditions of this Agreement. In all other cases, only the Subscriber is permitted to access the Paid Subscription Service materials.

Modification of Terms and Conditions

Tokyo Journal International, Inc. may change any aspect of the Paid Subscription Service or the Websites at any time, and may restrict a Subscriber’s access to the Paid Subscription Service, subject to a pro rata refund of any unused portion of the subscription fee. Tokyo Journal International, Inc. reserves the right at its discretion to modify, change, remove or add to the Terms and Conditions for this Paid Subscription Service at any time. All Subscribers shall be notified of any changes, and any changes shall be posted on the Websites. By continuing to use the Paid Subscription Service materials, following the notification and posting of any change to these Terms and Conditions will constitute the Subscriber’s acceptance of the Terms and Conditions as modified.

Representations and Warranties

The Subscriber represents, warrants, and agrees that nothing uploaded, distributed or published on the Websites or the Paid Subscription Service through the Subscriber’s account will infringe on the trademark or copyright of any person or entity, or be pornographic, obscene, abusive, defamatory, libelous, or invade the rights of privacy or other personal or property rights. Should there be any breach or alleged breach of these Terms and Conditions, representations and/or warranties herein, by the Subscriber or any third party to whom the Subscriber shares her/his password or otherwise makes available this Subscription Service, Tokyo Journal International, Inc. shall be indemnified, defended and held harmless from any damages, expenses and costs, including reasonable attorneys’ fees, and the Subscriber shall cooperate in the defense of any claim brought against Tokyo Journal International, Inc.

Discussion Forums, Event Postings and Webcam Sessions

As part of the Paid Subscription Services, the Subscriber will have access to and be able to send messages and other content through Discussion Forums, Event Postings and Webcam Sessions. Tokyo Journal International, Inc. has no obligation to post all comments or content from Subscribers. Tokyo Journal International, Inc. reserves the right to remove, or not to post any comment/content it deems or believes others may deem to be, illegal, libelous, slanderous or offensive in any way. Subscribers shall be solely responsible for the content of their messages. Subscriber waives any and all moral rights in any content uploaded by the Subscriber.

Tokyo Journal International, Inc.shall not be responsible for activities or communications occurring outside the context of a Discussion Forum, Event Posting or Webcam Session even if such activity or communication commences or continues in the context of a Discussion Forum, Event Posting or Webcam Session. The Subscriber further represents and warrants to Tokyo Journal International, Inc. that Discussion Forums, Event Postings or Webcam Sessions on the Websites will not be used for the solicitation of funds, advertising or solicitation for goods or services. The Subscriber shall indemnify and hold Tokyo Journal International, Inc. harmless from any damages, expenses and costs (including reasonable attorneys’ fees) arising out of any breach or alleged breach of the Subscriber’s representations and warranties in this section.

Violation of Agreement

If the Subscriber is found to have violated this agreement, the Subscriber agrees to the termination of the subscription and/or access immediately and WITHOUT refund, and agrees to dispose of all copies of the information the Subscriber has obtained from the Websites.

Expiry and Cancellation Policy

When the Subscriber’s subscription expires, or if the Subscriber receives a full refund on a subscription, the Subscriber’s access will be terminated and the Subscriber may not retain any copies of information received the Websites. If the Subscriber cancels a subscription, the Subscriber’s access will be terminated.

Indemnity

The Subscriber agrees to indemnify, defend and hold Tokyo Journal International, Inc. and its affiliates, and their respective officers, directors, owners, agents, information providers and licensors (collectively, the “Tokyo Journal International Parties”) harmless from and against any and all liability, claims, damages, losses, costs and expenses (including attorneys’ fees) incurred by any Tokyo Journal International Party in connection with:

• The Subscriber’s use of, or connection to Tokyo Journal International, Inc.’s Service;
• Any use or alleged use of the Subscriber’s accounts or passwords by any person, whether or not authorized by the Subscriber;
• The content, the quality, or the performance of Material that is submitted by the Subscriber;
• The Subscriber’s violation of these Terms or the Privacy Policy; or
• The Subscriber’s violation of the rights of any other person or entity

Subscription

To subscribe, the Subscriber must provide Tokyo Journal International, Inc. with accurate and complete subscription information, and must assent to these Terms and Conditions by clicking on the “Subscribe” button on the subscription page. Failure to provide accurate and complete information, and failure to update the information requested on the subscription form in a timely manner, may result in delays in establishing Subscriber access to the Subscription Service, Tokyo Journal International’s denial of a subscription or the cancellation of a Subscriber’s access to the Subscription Service.
